TL;DR

Stripe Atlas is worth it in 2026 for founders forming a Delaware C corporation they plan to raise money on: the $500 one-time fee covers Delaware formation with expedited filing and state fees, the EIN, founder stock issuance, the 83(b) filing, Cooley-drafted templates and the first year of registered agent service. After that the registered agent renews yearly and automatically.

The hidden costs are Delaware's, not Stripe's: a C corporation owes an annual franchise tax plus a $50 annual report fee every March, and an LLC owes a flat annual tax every June. Atlas refunds its setup fee if you deposit $5,000 into a Stripe Treasury account within 90 days. Clerky suits founders with a lawyer, while doola, Firstbase and Bizee suit LLC owners. Prices verified on each provider's site and Delaware's Division of Corporations on 17 October 2026.

Atlas is cheap to start and ordinary to keep, which is the right way to read its price. The setup fee buys a clean, investor-standard Delaware company in a couple of days, with the 83(b) election filed for you, a step founders who form on their own sometimes miss. What it does not buy is the yearly cost of being a Delaware company, which every formation service leaves to you.

Toolradar data: the entity management ranking on Toolradar, the software directory we run, evaluated 11 tools as of 15 October 2026, with Stripe Atlas listed beside doola and Clerky. For the head-to-head with doola, read our doola vs Stripe Atlas comparison; for cheaper paths, the Stripe Atlas alternatives guide.

Methodology: on 17 October 2026 we read Stripe's Atlas page and its Atlas documentation on signup, company types and business taxes, the Delaware Division of Corporations tax pages, and the pricing pages of doola, Clerky, Firstbase and Bizee. The multi-year costs are our arithmetic on those published fees. Dupple has no test lab, so we did not form a company through any of these services.

What is Stripe Atlas?

Stripe Atlas is Stripe's company formation service, and it forms a Delaware C corporation, a Delaware LLC or a C corporation subsidiary, gets the company's EIN from the IRS, issues founder shares with vesting, and files each founder's 83(b) election. Its legal templates were built with Cooley LLP, and Stripe says more than 100,000 founders from over 175 countries have used it.

The package is built around the Stripe account, so you can accept US card payments and open a Stripe Treasury business account before the EIN arrives, every Atlas company gets $2,500 in Stripe product credits for its first year, and partner discounts are worth more than $50,000 on tools such as Google and Xero. Fundraising is included at no extra charge: board consents and YC post-money SAFEs generated from the Stripe Dashboard, with each SAFE tracked.

Atlas is not a law firm and gives no legal or tax advice. It forms C corporations at a standard fair market value of $100 for founder stock, which Stripe warns may not fit a founder contributing valuable IP. If you need non-competes or excluded prior inventions in your formation documents, Stripe says to work with a lawyer instead.

How Stripe Atlas works

You enter company, founder, ownership and officer details, sign the generated documents, and Atlas files with Delaware using 24-hour expedited processing. Stripe says a company can take payments, raise money and accept funds within two business days.

The EIN timeline depends on the details you can supply: the IRS typically issues it in 1 to 2 business days when you provide a US company address, a US phone number and a US Social Security number; without all three it can take 10 to 35 business days. Non-US founders should plan for the longer wait, and our guide to forming a US LLC as a non-resident covers the extra steps.

After formation, Delaware's yearly obligations are yours to track, and Atlas notes that Delaware's default notice uses the Authorized Shares method, which produces large bills for companies with more than 5,000 shares, and that most Atlas companies pay less under the Assumed Par Value Capital method. Stripe also points out that the annual tax is not prorated, so a company formed in late December owes a full year; waiting until 1 January saves it.

Stripe Atlas pricing

The setup fee is the small number. Atlas charges it once, covering administrative fees, Delaware filing and the first registered agent year, then $100 a year for the agent. Deposit $5,000 into a Stripe Treasury account within 90 days and Atlas refunds that fee, so a funded startup can form for nothing out of pocket. Prices are from Stripe's Atlas page and the Atlas business taxes guide, read on 17 October 2026.

Delaware's bill comes every year, whichever service formed the company. The Division of Corporations sets a minimum franchise tax of $175 under the Authorized Shares method and $400 under the Assumed Par Value Capital method, plus a $50 annual report fee for a non-exempt corporation, due by 1 March. Delaware LLCs pay a flat $400 annual tax by 1 June. Missing either deadline costs a $200 penalty plus 1.5% interest a month.

Our scenario, a C corporation over three years: the Atlas fee plus two agent renewals comes to $700, and three franchise tax filings at the minimum with the report fee add $1,350. The total is at least $2,050, before any state where you register to do business outside Delaware. An Atlas LLC over the same period costs $700 to Atlas and $1,200 to Delaware.

Rivals, read the same day: Clerky charges $427 for incorporation including Delaware's expedited fee and a first-year agent, but founder stock and 83(b) paperwork cost extra, so matching Atlas costs $726. Firstbase Start is $99 plus the state fee, with a required registered agent at $299 a year per state. doola Starter is $297 a year plus state fees, and Bizee forms an LLC for $0 plus state fees with one free agent year.

Stripe Atlas pros and cons

What we like

  • The setup fee includes Delaware expedited filing, the EIN, founder stock, the 83(b) filing and a first agent year.
  • Atlas refunds its fee if you deposit $5,000 into Stripe Treasury within 90 days.
  • Every company gets $2,500 in Stripe credits for its first year plus partner perks.

What could be better

  • It forms only in Delaware, so an LLC owner in another state may also pay to register at home.
  • Delaware franchise tax and annual report fees are extra every year.
  • Founders without a US address, phone and SSN can wait 10 to 35 business days for the EIN.

Who Stripe Atlas is for

Atlas fits a founding team forming a Delaware C corporation to raise venture money and planning to take payments on Stripe. The 83(b) filing, standard Cooley documents and SAFE tools cover the first year of a funded startup, and the fee refund makes it close to free for a company that will hold that much in a Stripe Treasury account anyway.

Skip Atlas if you want a Wyoming or home-state LLC, since it only forms in Delaware; our Delaware vs Wyoming LLC guide explains why many small businesses choose otherwise, and the LLC formation services roundup ranks cheaper routes. Skip it too if you need custom legal terms in your founding documents, which Stripe says require a lawyer.

Non-US founders should read the Form 5472 guide before choosing an LLC, and the US bank accounts for non-residents guide for banking. For the agent fee alone, see what a registered agent costs. Subscribe to Finpresso for formation and tax deadline reminders.

The bottom line

Use Stripe Atlas if you are forming a Delaware C corporation to raise money and sell through Stripe: it is the most complete package for the price, and the fee refund removes most of the cost. Budget the Delaware franchise tax and annual report every March, file under the Assumed Par Value Capital method, and avoid forming in the last days of December.

Choose Clerky if your lawyer works there, and doola or Firstbase for an LLC with compliance help. The doola review covers that plan in depth, and the cap table software guide picks up after formation.

Frequently asked questions

Is Stripe Atlas worth it in 2026?

Yes, for founders forming a Delaware C corporation they plan to raise money on. The one-time fee covers Delaware formation with expedited filing, the EIN, founder stock, the 83(b) filing, Cooley-drafted templates and the first registered agent year, and Atlas refunds it if you deposit $5,000 into Stripe Treasury within 90 days. It is less compelling for a small LLC that does not need Delaware.

How much does Stripe Atlas really cost?

Stripe Atlas costs $500 once, then $100 a year for the registered agent from the second year, per Stripe's Atlas page on 17 October 2026. Delaware adds its own yearly charges: a C corporation pays franchise tax with a $175 or $400 minimum depending on the method, plus a $50 annual report fee, and an LLC pays a flat annual LLC tax. Over three years a C corporation spends at least $2,050 in total.

What hidden costs come with a Stripe Atlas company?

The main ones are Delaware's annual franchise tax and annual report fee for C corporations, due 1 March, and the annual LLC tax, due 1 June, with a $200 penalty plus 1.5% monthly interest if late. Companies doing business in another state may also owe registration and taxes there. The registered agent renews automatically after the first year.

How long does Stripe Atlas take?

Atlas files with Delaware using 24-hour expedited processing, and Stripe says a company can accept payments and raise money within two business days. The EIN typically arrives in 1 to 2 business days for founders with a US address, US phone and SSN, and can take 10 to 35 business days otherwise.

What are cheaper alternatives to Stripe Atlas?

Bizee forms an LLC for $0 plus state fees with a free first agent year, Firstbase Start costs $99 plus state fees and a required yearly agent, and doola Starter costs $297 a year plus state fees. Clerky charges $427 for incorporation, but adding founder stock and 83(b) paperwork brings it to $726, above Atlas.
